Welcome to CodeLab IT Institute. By accessing our website, purchasing custom software solutions, engaging in digital marketing services, or consulting with our technical architects, you agree to comply with the following Terms and Conditions.

1. Service Offerings & Scope of Work

CodeLab IT Institute delivers enterprise custom web application development, mobile app engineering, cloud infrastructure devops, AI integration, and performance digital marketing services. Specific project deliverables, timelines, milestones, and costs are formalized in individual client contracts or Statement of Work (SOW) documents.

2. Intellectual Property & Code Ownership

Unless explicitly agreed otherwise in a custom contract, upon full payment of project invoices, the client receives full ownership rights to the custom source code, databases, design assets, and intellectual property developed specifically for their project. CodeLab IT Institute retains ownership of generic reusable core frameworks and open-source packages.

3. Payment Terms & Billing

• Project work commences upon receipt of the agreed initial milestone deposit.
• Invoices are payable within 14 business days of issuance unless customized terms are stipulated in your agreement.
• Delayed payments may result in temporary suspension of active deployment or development environments.

4. Client Responsibilities & Content Delivery

Clients agree to provide timely feedback, required domain/server credentials, logos, and content materials necessary for successful project execution within agreed sprint schedules.

5. Warranties & Technical Maintenance

We provide a standard 30 to 90-day bug-fix warranty on all custom software deliveries post-launch. Extended technical support, security patching, and server monitoring are available under dedicated Service Level Agreements (SLAs).

6. Limitation of Liability

To the maximum extent permitted by applicable law, CodeLab IT Institute shall not be liable for any indirect, incidental, or consequential damages resulting from unauthorized third-party server breaches, domain registrar downtime, or third-party API outages outside our direct control.

7. Governing Law & Dispute Resolution

These Terms of Service are governed by the laws of Bangladesh. Any dispute arising under these terms shall be settled amicably or resolved through competent legal jurisdiction in Dhaka, Bangladesh.
